Terms & Conditions

These Terms & Conditions ("Terms") are a binding agreement between you and Deed Bangladesh IT Limited, a company registered in Bangladesh ("Deed Bangladesh", "we", "us"). They apply to this website, the client portal, and every service we sell, whether ordered online, by invoice, or through a signed proposal. A signed service agreement or statement of work takes priority over these Terms where the two differ.

By using the website, creating a portal account, or paying for a service, you accept these Terms and our Privacy Policy, Refund & Cancellation Policy and Acceptable Use Policy.

1. Our services

We provide business-to-business services, including:

  • Amazon and Walmart seller account management: setup, listing optimisation, advertising, account health, reinstatement appeals and reimbursement claims.
  • USA business formation for non-residents: LLC filing, registered agent, EIN application support, operating agreements and related paperwork.
  • Website development and digital marketing.

The scope, deliverables and price of each engagement are set out on the relevant page of this website, in your invoice, or in a written proposal. Anything not listed there is out of scope unless agreed in writing.

2. Who may use our services

  • You must be at least 18 years old and legally able to enter into a contract.
  • Our services are for businesses, sole traders and professionals. They are not intended for personal, family or household use.
  • If you act for a company, you confirm you are authorised to bind it.
  • We may decline or discontinue any engagement that conflicts with our Acceptable Use Policy, applicable law, or a marketplace's rules.

3. Accounts and the client portal

  • Portal accounts are created by us after your first order or by invitation. Keep your login details confidential and tell us at once if you suspect misuse.
  • You are responsible for everything done through your account until you notify us of a compromise.
  • We may suspend an account to protect you, other clients, or our systems, and will tell you why unless the law prevents it.
  • Amazon, Walmart and other third-party credentials you share with us are used only to deliver the agreed service and are handled as described in our Privacy Policy.

4. Orders, prices and payment

  • Currency. Prices are quoted in US dollars (USD). Clients in Bangladesh may be invoiced in Bangladeshi taka (BDT) at the rate stated on the invoice.
  • Taxes. Prices exclude VAT, sales tax, withholding tax, government filing fees and bank charges unless the invoice says otherwise. You are responsible for any tax due in your own country.
  • How you pay. Every order is invoiced. The invoice lists the payment options open to you: bank transfer, Wise, Payoneer, bKash and Nagad. We do not take card details on this website.
  • Who collects the payment. Deed Bangladesh IT Limited invoices you and receives the payment directly. There is no third-party merchant of record. The account or wallet details for each payment method are printed on the invoice itself.
  • Manual payments. Bank transfer, bKash and Nagad payments are accepted for invoices. An invoice is paid when the funds reach our account; please quote the invoice number with every transfer.
  • Subscriptions. Monthly packages renew automatically at the end of each billing period until you cancel from the client portal or by email. Renewal is charged to the payment method on file.
  • Setup fees. Where a service page shows a one-time setup fee, it is charged once, together with your first payment, and covers onboarding. It does not recur and is non-refundable once onboarding has started, as set out in our Refund & Cancellation Policy. The setup fee and the service price are always shown separately on the service page, at checkout, on your invoice and in your service agreement. A client who purchased a one-off Amazon or Walmart service from us in the previous 90 days receives a credit of 50% of that fee against the setup fee.
  • Late payment. Invoices are due by the date printed on them. If an invoice is more than 14 days overdue we may pause work, withhold deliverables, and charge interest at 1.5% per month (or the highest rate allowed by law, if lower) plus reasonable recovery costs.
  • Price changes. We may change published prices at any time. Changes to a subscription price take effect from the next billing period after we notify you.

5. Delivery and your responsibilities

We deliver services with reasonable skill and care, in line with the marketplace's published policies and the scope agreed. Turnaround times shown on the website or in a proposal are good-faith estimates, not guarantees; they depend on your input and on third parties such as Amazon, Walmart, US state offices and banks.

You agree to:

  • provide accurate, complete and lawful information, documents and access, and update them when they change;
  • respond to our requests within a reasonable time (normally 3 business days), since delays on your side extend our timelines;
  • sell only products you are legally entitled to sell, and comply with all marketplace policies and applicable laws;
  • review deliverables promptly and tell us in writing within 7 days if something does not match the agreed scope.

6. Amazon and Walmart services: no guaranteed outcomes

Amazon and Walmart make the final decision on listings, rankings, advertising, account health, suspensions and reinstatement. We cannot and do not guarantee any sales figure, ranking, review count, advertising return, reimbursement amount, or the reinstatement of a suspended account. Our fee pays for our work, not for a result.

Marketplace policies change without notice. Where a change makes part of a service impossible, we will tell you and propose an alternative or a fair adjustment. We do not perform any action that breaches a marketplace's rules; see our Acceptable Use Policy.

7. USA LLC formation services

  • We are a filing and document-preparation service. Deed Bangladesh is not a law firm, accounting firm or registered tax advisor, and we are not licensed to practise law in any US state. Nothing we say or write is legal, tax, immigration or financial advice. Consult a licensed professional for advice on your situation.
  • Fees. Our package price covers our work. State filing fees, registered agent renewals after the first year, expedite fees, notary or apostille fees, and any other third-party charges are separate and are shown at cost on your invoice.
  • Third parties. Formation approval, EIN issuance, ITIN processing, bank and payment-processor account approvals, and Amazon or Walmart seller verification are decided by the relevant state office, the IRS, the bank, or the marketplace. We prepare and submit; we cannot guarantee approval or a timeline.
  • Your information. You are responsible for the accuracy of names, addresses, ownership details and identity documents. Filings made with incorrect information may need to be amended at your cost.
  • Ongoing compliance. After formation you are responsible for annual reports, franchise taxes, federal and state tax filings, BOI or similar reporting, and keeping a registered agent, unless you buy a compliance service from us.

8. Website development and digital marketing

  • Ownership. On full payment, you own the final deliverables we create for you (designs, code, copy and creatives). Until then we retain ownership. We keep the right to reuse our general know-how, tools and non-client-specific components, and to show the work in our portfolio unless you ask us not to.
  • Third-party platforms. Hosting, domains, themes, plugins, fonts, stock media and advertising platforms (Google, Meta, Amazon Ads and others) are governed by their own licences and terms. We are not responsible for their availability, pricing or policy decisions.
  • Ad spend. Advertising budgets are paid by you directly to the platform, or invoiced at cost. Ad spend is never refundable by us.
  • No traffic or revenue guarantees. We do not guarantee search rankings, traffic, conversion rates, leads or revenue.
  • Content. You are responsible for the accuracy and legality of the content, claims, products and licences you supply.

9. Intellectual property

This website and its content (text, graphics, logos, tools and code) belong to Deed Bangladesh or its licensors and may not be copied or reused without permission, except for viewing and sharing links. Amazon, Walmart and other names and logos referred to on this site are trademarks of their owners; see our Disclaimer. Material you give us stays yours, and you grant us a licence to use it to deliver the service.

10. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for the engagement, except where disclosure is required by law or the information is already public. This obligation survives the end of the engagement for 3 years, and indefinitely for credentials and trade secrets.

11. Warranties and disclaimers

We warrant that we will perform services with reasonable skill and care. Except for that warranty, and to the extent the law allows, the website and services are provided "as is", without any other warranty, express or implied, including fitness for a particular purpose. Free tools and calculators on this site give estimates only.

12. Limitation of liability

  • Our total liability to you for all claims arising out of or connected with an engagement, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid us for that engagement in the 3 months before the event giving rise to the claim.
  • We are not liable for indirect, incidental, special or consequential loss, lost profits, lost sales, lost data, loss of goodwill, or for any action taken by Amazon, Walmart, a US state, the IRS, a bank, an advertising platform or any other third party.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited by law.

13. Indemnity

You will indemnify us against claims, fines and costs (including reasonable legal fees) arising from your products, content, listings, filings, or your breach of these Terms, the Acceptable Use Policy, a marketplace policy, or the law.

14. Suspension and termination

  • You may cancel a subscription at any time, effective at the end of the current billing period, and a project as described in our Refund & Cancellation Policy.
  • We may suspend or end an engagement immediately if you breach these Terms or the Acceptable Use Policy, if an invoice is more than 30 days overdue, or if continuing would expose us to legal or marketplace risk. Otherwise, either party may end an ongoing engagement with 14 days' written notice.
  • On termination you must pay for work done up to the termination date. Sections 9 to 13 and 16 survive termination.

15. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, strikes, internet or power outages, government action, or outages and policy changes at Amazon, Walmart, banks or other platforms. Timelines are extended for the duration of the event.

16. Governing law and disputes

These Terms are governed by the laws of the People's Republic of Bangladesh. If a dispute arises, both parties will first try to resolve it in good faith by discussion within 30 days of written notice. If that fails, the dispute will be referred to arbitration in Rajshahi, Bangladesh under the Arbitration Act 2001, conducted in English by a single arbitrator, or, where arbitration is not available, to the exclusive jurisdiction of the courts of Rajshahi. Either party may seek urgent injunctive relief in any competent court.

17. Consumer rights

Our services are intended for business use. If you nevertheless deal with us as a consumer, nothing in these Terms removes rights you have under the mandatory consumer-protection laws of the country where you live, and the governing-law and dispute clauses apply only to the extent those laws allow.

18. Changes to these terms

We may update these Terms from time to time. The effective date at the top shows the current version. Material changes are announced on this page or by email to portal account holders at least 14 days before they take effect. Continued use after that date means you accept the new Terms. Terms already agreed in a signed contract are not changed by updates to this page.

19. General

  • If any part of these Terms is found unenforceable, the rest remains in force.
  • These Terms, together with the policies linked above and your invoice or proposal, are the entire agreement between us and replace earlier discussions.
  • You may not assign your rights without our written consent. We may assign to a successor of our business.
  • Notices must be in writing by email to the addresses below or to the email on your portal account.
  • A failure to enforce a right is not a waiver of it.
